Citrix Csp Agreement

You agree to inform your end users that you are an independent company of Citrix and not to support you as a representative of Citrix or to attempt to bind Citrix to an agreement with third parties. You may not provide additional assurances, obligations, or warranties that are binding on Citrix. “Products”, individually or collectively, all server products, SaaS and/or documentation that are provided as part of the Citrix Service Provider program and contained in the program manual. Product availability is subject to the citrix Product Lifecycle Policy on www.citrix.com. 3.1 Right to a Host Server. Citrix grants you a non-exclusive, non-transferable worldwide license (except in the program manual) to use the quantity of products purchased (non-SaaS) and support services to host CSP services marketed and sold in the territory, with use of the product (non-SaaS) subject to the license model and description related to the products purchased SKU(s). Citrix also grants CSP the right to use the number of SaaS subscriptions purchased to host CSP services marketed and sold in the territory, with the use of SaaS subject to the service model, as well as the citrix terms of use, including service descriptions related thereto related to the acquired SKU, on a non-exclusive global basis, non-transferable. The CSP hosting environment for products (non-SaaS) must be physically or virtually separate from all environments in which Citrix products are used for an indefinite and/or annual period. The above licensing and usage assignments are subject to the submission of the monthly usage report and the required royalties, in accordance with section 5 below; and (ii) grant access to the Products only to your employees and contractors of the CSP or to end customers subject to a license or service agreement with you (“CSP Service Agreement”), as further described in Section 4 below. 10.3 Consent to the use of data.

You agree that Citrix may collect and use data and related information, including, but not limited to, technical information relating to related devices, systems, software, services, or devices related to your use of the products and services provided under this Agreement (excluding End User Content). The data collected may be used to facilitate the provision of software updates, license authentication, support, analysis, and other purposes, in accordance with the current citrix privacy policy on www.citrix.com/about/legal/privacy.html. You must provide end users with all information or guidance necessary under applicable data protection legislation to give consent to those end users and, where appropriate, obtain the consent or choice of those end users. By using the products and services provided under this Agreement, you agree to the Citrix Privacy Policy and the use of the Collection Usage tools (including the requirements set forth herein) used by Citrix to facilitate the provision of the products and services in accordance with this Agreement. . . .
